Restaurant Terms
End User License Agreement for restaurants and businesses
Last updated: October 13, 2026
These Restaurant Terms ("Agreement") are between Heuristic Technologies & Solutions, Inc., a Delaware corporation ("we," "us," "our"), and the restaurant, café or other business that uses HI.1s.again's business tools ("you," "your," the "Business").
You accept this Agreement when you tick the box agreeing to it, install HI.1s.again from the Clover App Market, connect a point-of-sale account, or use the business tools. If you accept on behalf of a business, you confirm you are authorized to bind it. Our Terms of Service and Privacy Policy also apply; if they conflict with this Agreement, this Agreement controls for your business use.
The essentials:
- Your POS (for example Clover) stays the source of truth for your menu, prices and taxes, and handles every payment. We never process payments or see card data.
- You're responsible for your food, menu accuracy, allergens, taxes, fulfilling orders and honoring the rewards you set up.
- You own your business data. Diner information may be used only to serve your guests and run your loyalty program.
- You can disconnect, uninstall or cancel at any time.

1. Definitions
- "Service": the HI.1s.again business tools described in section 3, including updates.
- "POS": your point-of-sale system and account, such as Clover.
- "Business Data": information you or your staff add to the Service or that we receive from your POS for you: your profile, menu, prices, tax settings, tables, staff accounts, settings, content and order records.
- "Diner": a guest who uses HI.1s.again at your business. "Diner Information": information about Diners collected through the Service, such as table names, orders, visits, rewards and feedback.
- "Staff": people you give access to your business account.
2. License and accounts
- While this Agreement is in effect, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service for your own business, under this Agreement.
- You may give Staff access with the roles the Service provides. You're responsible for your Staff's actions and for keeping sign-in details secure. Tell us promptly at support@hi1sagain.com if you suspect unauthorized access.
- Account information you give us, including information pre-filled from your POS, must be accurate and kept up to date.
- We and our licensors keep all rights in the Service not expressly granted to you.
3. The Service
Depending on your plan and settings, the Service includes:
- Digital menu opened from table tags (NFC) or QR codes, with photos, descriptions, options, offers and availability.
- Ordering for dine-in tables (including shared table orders), counter and pickup.
- Kitchen dashboard to receive, confirm and progress orders, with alerts and optional automatic printing on your POS printer.
- Orders and bills: order history, bill estimates, and payment status synced from your POS.
- Loyalty: visit milestones, rewards, memberships and offers to returning guests.
- Feedback and insights: dish-level ratings and comments, guest visit history at your business, and post-visit emails to signed-in guests.
- Content tools: menu visual requests and drafts.
- Phone ordering assistant, where available and enabled by you.
- POS integrations, including Clover.
We may improve, add or change features. If we remove a feature that is material to your paid plan, we'll give you reasonable notice.
4. Clover and other POS integrations
- Authorization. You connect your POS by installing HI.1s.again from the Clover App Market or connecting from our Integrations page, and approving the permissions requested. You authorize us to access your POS account as described in our Privacy Policy to provide the Service.
- Menu sync. Items, categories, prices, modifiers and tax rates are imported from your POS, which remains the source of truth. After you change them in your POS, sync again from the Integrations page so your digital menu matches. You can choose which categories to import.
- Orders. When your Staff confirm an order on the kitchen dashboard, the Service creates it in your POS with its line items, options and discounts, and may print it if you enable printing. Later orders from the same table visit are added to the same POS order.
- Payment status. We read payment and refund status for orders created through the Service, using notifications and periodic checks. Status may take a short time to update.
- Dependency on your POS. The integration relies on your POS provider's systems. We aren't responsible for their outages, changes or errors, or for your POS configuration (such as tax rates, item setup or printer settings).
- Disconnecting. You can disconnect from the Integrations page or uninstall from your POS dashboard at any time. Syncing stops, we delete our access credentials, and orders already in your POS stay there.
- Clover is not a party. Clover and its affiliates are not parties to this Agreement and are not responsible for the Service. Your use of Clover is governed by your agreements with Clover and your payment processor.
5. Payments, taxes and bills
- We don't process payments. Diners pay you through your POS and payment processor. We never collect, transmit or store card data, and don't handle tips, surcharges, refunds or chargebacks; those happen in your POS.
- Estimates. Totals shown to Diners and Staff are calculated from your POS's prices, discounts and tax rates and are labeled as estimates. Your POS receipt is the final amount.
- Taxes. You are responsible for configuring correct tax rates in your POS and for collecting and remitting all taxes on your sales.
- No fees to Diners. We don't charge Diners fees for ordering.
6. Your responsibilities
- Accurate menu: item names, descriptions, photos, prices, availability, and allergen and dietary information. Diners are told to confirm allergens with your staff; please train staff to answer.
- Orders: monitor and confirm incoming orders, prepare and serve them, and handle cancellations, refunds and complaints with your guests.
- Laws: comply with laws that apply to your business, including food safety, licensing, consumer protection, price display, tax, privacy, and marketing laws. If you sell alcohol or other age-restricted items, verify age in person before serving.
- Your offers: honor the rewards, offers and memberships you set up (see section 7).
- Table tags: place table tags and QR codes at the correct tables and replace damaged ones.
- Your content: you have the rights to the logos, photos and text you upload, and they don't infringe anyone's rights.
7. Loyalty, rewards and memberships
- Your program. You design and fund your rewards, offers and memberships and set their rules, such as visit milestones, eligible items, minimum orders, discount caps, days and times, and expiry. The Service applies those rules as you configure them.
- Honoring rewards. Rewards a Diner has unlocked are honored until they expire, even if you later change or end the program. Make changes going forward, not retroactively.
- Costs. The cost of rewards and discounts is yours. We are not responsible for the value of rewards or for redemptions.
- Memberships you sell to Diners are sold by you. You are responsible for their pricing, taxes, disclosures, cancellations and refunds.
- Fair play. We may reverse rewards obtained through fraud, error or misuse, and may adjust how rewards are calculated to keep the program consistent and secure.
8. Diner information
- Two relationships. Diners have their own HI.1s.again accounts with us. When they order or visit your business, we process their information to provide the Service to you, and under our Privacy Policy for their own accounts.
- What you see. You see Diners' table names, orders, requests, feedback, and, for signed-in Diners, their display name and their visits, rewards and memberships at your business. You never see their activity at other businesses.
- Permitted use. Use Diner Information only to serve your guests, run your loyalty program, understand and improve your business, and contact guests through the Service in line with their preferences.
- Not permitted: selling or renting Diner Information; using it for unrelated marketing or sharing it with third parties for their marketing; trying to identify guests who chose an alias; contacting guests outside the Service without their consent; or anything that violates privacy, anti-spam (such as CAN-SPAM) or telemarketing (such as TCPA) laws.
- Requests. If a Diner asks to access or delete their information, we handle it under our Privacy Policy. You agree to cooperate and to send any such requests you receive to privacy@hi1sagain.com.
9. Your business data
- Ownership. You own your Business Data. You give us a worldwide, non-exclusive license to host, copy, process and display it as needed to provide, secure and support the Service.
- Aggregated data. We may use de-identified and aggregated data derived from use of the Service (for example, overall ordering trends) to operate, improve and benchmark the Service, as long as it doesn't identify you or any person.
- Export and deletion. You can ask us to export or delete your Business Data at any time by emailing support@hi1sagain.com. See section 16 for what happens when you cancel.
- Feedback. Suggestions you send about the Service may be used without any obligation to you.
10. Phone ordering assistant
If you enable the automated phone assistant:
- It answers calls to your number, takes orders and passes them to your dashboard. Calls are processed by our voice provider and may be transcribed and recorded.
- You are responsible for any notices or consent that call recording and automated-call laws require where you and your callers are located (some US states require all parties' consent), such as telling callers at the start of the call that they're speaking with an automated assistant and that the call may be recorded.
- Review orders taken by phone before preparing them. Automated speech recognition can make mistakes.
11. AI and content features
- Menu visuals, descriptions and other content we create or draft for you may be produced or edited with AI tools and may not exactly match your actual dishes.
- Review drafts before publishing them to your menu. By publishing, you confirm the content fairly represents what you serve.
- Once delivered and paid for (if fees apply), you may use content we create for you to promote your business, on and off the Platform.
12. Fees and billing
- Plans. Plans, features and prices are shown when you subscribe, either in the Clover App Market listing or on our site. Free plans, trials and pilot programs have the limits stated when offered.
- Billing channel. If you install through the Clover App Market, your subscription is billed by Clover on our behalf, under Clover's App Market billing terms. Otherwise you are billed by our payment provider.
- Renewal. Subscriptions renew automatically for the same period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded for partial periods unless the law requires.
- Price changes take effect at your next billing period after at least 30 days' notice.
- Taxes. Fees exclude taxes, which you pay where applicable.
- Non-payment. We may suspend paid features if fees remain unpaid after notice.
13. Acceptable use
You will not, and will not let others:
- Resell, sublicense or provide the Service to anyone else, or use it to build a competing product.
- Copy, modify, reverse engineer or decompile the Service, except where the law allows despite this limit.
- Access the Service by automated means or interfere with its security or operation.
- Post false or misleading menu information, prices or offers, or fake Diner feedback.
- Use the Service for anything illegal, harmful or fraudulent.
14. Confidentiality and security
- Each party will protect the other's non-public business information with reasonable care and use it only for this Agreement.
- We use reasonable technical and organizational measures to protect Business Data and Diner Information, including encryption in transit, encryption at rest through our database provider, role-based access, and server-side storage of POS credentials.
- If we become aware of unauthorized access to your Business Data, we will notify you without undue delay and take reasonable steps to contain it.
15. Availability and support
- We aim to keep the Service available at all times but don't guarantee uninterrupted service. Planned maintenance will be scheduled outside common meal service hours when possible.
- Your Staff should keep watching the kitchen dashboard and your POS during service. If the Service or your POS is unavailable, take orders another way.
- Support is available by email at support@hi1sagain.com. We aim to respond within one business day.
16. Term, cancellation and termination
- This Agreement starts when you accept it and continues until you cancel or it is terminated.
- You can cancel at any time from your account, by uninstalling from the Clover App Market, or by emailing support@hi1sagain.com. Uninstalling stops the integration; cancel your subscription as well if it isn't billed through Clover.
- We may suspend or terminate your access if you materially breach this Agreement and don't fix it within 15 days of notice, immediately for fraud, illegal use or risk to Diners or the Service, or with 30 days' notice for any other reason (in which case we refund prepaid fees for the unused period).
- After termination: your access ends; your menu stops accepting orders; your loyalty program ends, so unredeemed rewards at your business are no longer usable; and you can request an export of your Business Data within 30 days. After that we delete it, except records we must keep by law. Diners keep their own accounts and their history at other businesses.
- Sections that by their nature should survive (including payments owed, data use limits, confidentiality, disclaimers, liability limits and indemnities) survive termination.
17. Warranties and disclaimers
Each party confirms it has the authority to enter this Agreement. Otherwise, the Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that the Service will be uninterrupted or error-free, that every order or status update will reach your POS or dashboard, that estimates will match your POS totals in every case, or that the Service will meet your business requirements.
18. Limitation of liability
To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and (b) our total liability arising from this Agreement or the Service is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or US $100 if you paid nothing. These limits don't apply to your payment obligations, your indemnity obligations, or your breach of section 8 (Diner information).
19. Indemnity
You will defend and indemnify us and our affiliates against third-party claims, losses and expenses (including reasonable legal fees) arising from: the food, drinks and services you provide; your menu, pricing, allergen, tax or offer information; your content; your use of Diner Information; your Staff's actions; or your breach of this Agreement or the law.
20. Changes to this Agreement
We may update this Agreement as the Service changes. We'll post the new version here and notify you by email or in your dashboard at least 30 days before material changes take effect. If you don't agree, you can cancel before they take effect; continuing to use the Service afterward means you accept them.
21. Governing law and disputes
- Before starting a formal proceeding, contact legal@hi1sagain.com and give the other party 30 days to try to resolve the issue informally.
- This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
22. General
- The parties are independent contractors. This Agreement doesn't create a partnership, employment or agency relationship.
- Neither party may assign this Agreement without the other's consent, except in connection with a merger, acquisition or sale of substantially all of its assets.
- Notices to you go to your account email; notices to us go to legal@hi1sagain.com.
- If any part is unenforceable, the rest stays in effect. Not enforcing a provision doesn't waive it.
- Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
- This Agreement, together with the documents it references and any order form, is the entire agreement about the Service and replaces earlier agreements on the subject.
